1. Binding Agreement
These Terms constitute a legally binding agreement between the user (“Customer”) and HSR Agency operating as Vocito.ai.
Accessing or using the Services constitutes unconditional acceptance.
2. Nature of the Services
Vocito.ai provides an AI-powered communication automation platform.
Optional setup, configuration, onboarding, and consulting services may be provided but do not alter the nature of the software-based service.
Vocito.ai does not provide legal, compliance, or telecom advice.
3. Absolute User Responsibility
The Customer is solely and entirely responsible for:
- Compliance with all applicable telecom, privacy, recording, and consent laws
- Ensuring lawful use of call recordings and AI outputs
- Content, scripts, call logic, and campaign configuration
Vocito.ai acts strictly as a technology provider.
4. Compliance Disclaimer
Vocito.ai makes no representation or warranty that use of the Services is lawful in any jurisdiction.
The Customer bears full responsibility for determining legality.
5. Prohibited Use
The Customer may not:
- Engage in unlawful, deceptive, or abusive calling practices
- Use the Services for spam or unauthorized outreach
- Circumvent technical limits or safeguards
- Reverse-engineer or exploit the platform
Violation may result in immediate termination.
6. Payments & Refund Policy
- Fees are due in advance
- All payments are final upon activation
- No refunds except where mandatory by law
7. Availability & Service Level
Services are provided on a best-effort basis.
Vocito.ai:
- Does not guarantee uptime
- Does not guarantee availability
- Is not liable for service interruptions, outages, or degradation
8. Intellectual Property
All intellectual property rights remain with Vocito.ai or its licensors.
No rights are transferred except for a limited, revocable license to use the Services.
9. Limitation of Liability
To the maximum extent permitted by law:
- Vocito.ai is not liable for indirect, incidental, or consequential damages
- Vocito.ai is not liable for lost profits, lost data, or business interruption
- Total liability is capped at the fees paid by the Customer in the preceding 12 months
10. Indemnification
The Customer shall indemnify and hold Vocito.ai harmless against any claims arising from:
- Use of the Services
- Call content or campaigns
- Regulatory or legal violations
11. Immediate Termination
Vocito.ai may suspend or terminate Services immediately and without prior notice if:
- Legal or compliance risk arises
- Misuse or abuse is detected
- These Terms are breached
12. Governing Law & Jurisdiction
These Terms are governed exclusively by the laws of The Netherlands.
Dutch courts shall have exclusive jurisdiction.
13. Severability
If any provision is held invalid, remaining provisions remain enforceable.
