1. Agreement

These Terms & Conditions ("Terms") constitute a legally binding agreement between the customer ("Customer", "you") and HSR Agency, operating under the trade name Vocito.ai ("Vocito", "we", "us"), a sole proprietorship registered in the Netherlands.

By accessing or using the Services, you unconditionally accept these Terms. If you do not agree, you must stop using the Services immediately.

2. Description of Services

Vocito AI provides a cloud-based AI voice agent platform that enables businesses to:

• Automatically answer, route, and manage inbound phone calls using AI
• Generate AI-powered call transcripts, summaries, and lead qualifications
• Schedule appointments and create follow-ups via SMS or WhatsApp
• Integrate with CRM systems and calendars via webhooks and APIs

Vocito AI is a technology platform. We do not provide legal, telecom, or compliance advice.

3. Eligibility & Verification

You must be at least 18 years old and have the legal authority to bind the entity on whose behalf you are using the Services. By registering, you represent and warrant that you meet these requirements.

3.1 Phone Verification

All accounts require SMS phone verification during registration. You must provide a valid mobile phone number that you own. Vocito uses this to verify your identity and prevent fraudulent registrations. Accounts without verified phone numbers cannot access platform features.

3.2 Business Verification (KYC)

Before purchasing a phone number, customers must complete business verification (Know Your Customer). Vocito verifies your business identity against national trade registers (e.g., KvK, KBO, SIRENE, Companies House, Handelsregister). You must provide a valid business registration number. Vocito reserves the right to reject or suspend accounts that fail business verification.

4. Customer Responsibilities

The Customer is solely and entirely responsible for:

• Compliance with all applicable telecom, privacy, recording, and consent laws (including but not limited to GDPR, CCPA, TCPA, and local equivalents)
• Obtaining required caller consent for call recording and AI processing where legally required
• All content, scripts, prompts, and call logic configured within the platform
• Ensuring that AI-generated outputs are reviewed before taking legally significant action
• Keeping account credentials secure

Vocito AI acts strictly as a technology provider and processor. We do not monitor or audit customer call content.

5. Prohibited Use

You may not:

• Use the Services for unlawful, deceptive, harassing, or abusive calling
• Use the Services for unsolicited commercial calls (spam) or robocalling in violation of applicable law
• Impersonate a human without disclosure where legally required
• Process special categories of personal data (health, religion, political opinions) without a valid legal basis
• Circumvent technical limits, rate limits, or security safeguards
• Reverse-engineer, decompile, or attempt to extract source code from the platform
• Resell or sublicense access unless on an Agency or Enterprise plan with written authorization

6. Plans, Pricing & Payment

6.1 Subscription

Vocito AI offers monthly and yearly subscription plans. Current pricing is published at vocito.ai/pricing. We reserve the right to change pricing with 30 days' notice.

6.2 Billing

• Fees are billed in advance (monthly or annually) via Stripe
• Overage minutes are billed at the plan's overage rate and added to the next invoice
• All prices are in Euros (€) and exclude VAT where applicable

6.3 Refunds

All subscriptions include a 30-day money-back guarantee from the date of first payment. After the 30-day period, all payments are final. No partial refunds are provided for unused portions of a billing period.

6.4 Upgrades & Downgrades

You may upgrade your plan at any time; the prorated difference will be charged immediately. Downgrades take effect at the end of the current billing cycle.

7. Free Trial & Credits

If applicable, free trial or promotional credits are subject to expiration, are non-transferable, and cannot be exchanged for cash. We may terminate free trials at any time.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted service. Services are provided on a "best effort" basis unless you have an Enterprise plan with a written SLA.

We are not liable for interruptions caused by third-party providers (telephony, AI models, hosting), force majeure events, or scheduled maintenance (which we will announce with reasonable notice).

9. Intellectual Property

All intellectual property rights in the Vocito AI platform, including software, algorithms, branding, documentation, and AI models, remain with Vocito AI or its licensors.

You retain ownership of your data. You grant us a limited license to process your data solely for the purpose of delivering the Services.

10. Data & Privacy

Our handling of personal data is described in our Privacy Policy. Where Vocito AI processes personal data on your behalf, the terms of our Data Processing Agreement apply.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• Vocito AI is not liable for indirect, incidental, special, consequential, or punitive damages
• Vocito AI is not liable for lost profits, lost data, lost business opportunities, or business interruption
• Vocito AI is not liable for the accuracy of AI-generated outputs
• Our total aggregate liability is capped at the fees actually paid by you in the 12 months preceding the claim

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law (including mandatory consumer protection laws).

12. Indemnification

You agree to indemnify and hold Vocito AI harmless from and against all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your call content, scripts, or campaigns
• Your violation of any applicable law or regulation
• Your breach of these Terms

13. Suspension & Termination

13.1 By You

You may cancel your subscription at any time from your account dashboard. Your access remains active until the end of the current billing period.

13.2 By Us

We may suspend or terminate your access immediately and without prior notice if:

• You breach these Terms
• We detect abusive, fraudulent, or unlawful activity
• A legal or compliance risk arises that requires immediate action
• Your payment fails after reasonable attempts to resolve it

13.3 After Termination. 60-Day Grace Period

Upon account deletion, a 60-day grace period applies. During this period, your account is deactivated but your data is retained, allowing recovery if the deletion was accidental. After 60 days, all personal data is permanently deleted unless retention is required by law. You may request data export at any time during the grace period.

13.4 Blacklist

After account deletion or banning, the email address and phone number associated with your account are placed on an internal blacklist in hashed form. This means:

• The same email address cannot be used to create a new account
• The same phone number cannot be used to create a new account

The blacklist exists solely for fraud prevention purposes. If you believe a blacklist entry is in error, contact privacy@vocito.ai.

14. Governing Law & Disputes

These Terms are governed exclusively by the laws of The Netherlands, without regard to conflict-of-law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of The Netherlands.

If you are a consumer in the EU, nothing in these Terms affects your rights under mandatory consumer protection legislation of your country of residence.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Changes

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use after notification constitutes acceptance. If you disagree, you may cancel your subscription before the changes take effect.

1. Overeenkomst

Deze Algemene Voorwaarden ("Voorwaarden") vormen een juridisch bindende overeenkomst tussen de klant ("Klant", "u") en HSR Agency, handelend onder de naam Vocito.ai ("Vocito", "wij", "ons"), een eenmanszaak geregistreerd in Nederland.

2. Beschrijving van de diensten

Vocito AI biedt een cloud-gebaseerd AI-spraakagentplatform waarmee bedrijven automatisch inkomende telefoongesprekken kunnen beantwoorden, routeren en beheren met behulp van AI, transcripties en samenvattingen genereren, afspraken inplannen en integreren met CRM-systemen.

3. Registratie & verificatie

3.1 Telefoonverificatie

Alle accounts vereisen SMS-telefoonverificatie bij registratie. U moet een geldig mobiel telefoonnummer opgeven dat van u is. Accounts zonder geverifieerd telefoonnummer hebben geen toegang tot platformfuncties.

3.2 Bedrijfsverificatie (KYC)

Vóór aankoop van een telefoonnummer is bedrijfsverificatie verplicht. Vocito verifieert uw bedrijfsidentiteit via nationale handelsregisters (bijv. KvK, KBO, SIRENE, Companies House). U moet een geldig registratienummer opgeven. Vocito behoudt het recht om accounts die niet door verificatie komen te weigeren of op te schorten.

4. Verantwoordelijkheid van de klant

• Naleving van alle toepasselijke telecom-, privacy-, opname- en toestemmingswetten (inclusief maar niet beperkt tot AVG, TCPA en lokale equivalenten)
• Het verkrijgen van de vereiste toestemming van bellers voor opname en AI-verwerking
• Alle inhoud, scripts, prompts en gesprekslogica geconfigureerd binnen het platform
• Het veilig houden van accountgegevens

4. Verboden gebruik

• Onwettig, misleidend, intimiderend of beledigend bellen
• Ongevraagde commerciële gesprekken (spam)
• Een mens nadoen zonder openbaarmaking waar wettelijk vereist
• Technische limieten of beveiligingsmaatregelen omzeilen
• Het platform reverse-engineeren of broncode extraheren

5. Abonnement & betaling

• Kosten worden vooraf gefactureerd (maandelijks of jaarlijks) via Stripe
• Alle abonnementen bevatten een 30-dagen geld-terug-garantie vanaf de eerste betaling
• Na de 30-dagenperiode zijn alle betalingen definitief
• Overschrijdingsminuten worden gefactureerd tegen het tarieven van uw plan
• Alle prijzen zijn in euro's (€) exclusief BTW indien van toepassing

6. Beschikbaarheid

Diensten worden geleverd op basis van "best effort" tenzij u een Enterprise-plan met een schriftelijke SLA hebt.

7. Intellectueel eigendom

Alle intellectuele eigendomsrechten op het platform blijven bij Vocito AI. U behoudt eigendom van uw gegevens en verleent ons een beperkte licentie om uw data te verwerken voor het leveren van de diensten.

8. Aansprakelijkheid

• Vocito AI is niet aansprakelijk voor indirecte, incidentele of gevolgschade
• Niet aansprakelijk voor winstderving, dataverlies of bedrijfsonderbreking
• Totale aansprakelijkheid beperkt tot de kosten betaald in de voorafgaande 12 maanden

Niets in deze Voorwaarden sluit aansprakelijkheid uit voor fraude, opzet, of aansprakelijkheid die niet onder toepasselijk recht kan worden uitgesloten.

9. Opschorting & beëindiging

U kunt uw abonnement op elk moment opzeggen. Wij mogen uw toegang direct opschorten of beëindigen bij schending van deze Voorwaarden, misbruik, of juridisch risico.

9.1 Wachttijd van 60 dagen

Bij accountverwijdering geldt een wachttijd van 60 dagen. Gedurende deze periode is uw account gedeactiveerd maar worden uw gegevens bewaard, zodat u kunt herstellen bij een per ongeluk verwijdering. Na 60 dagen worden alle persoonsgegevens permanent verwijderd.

9.2 Blacklist

Na accountverwijdering of -blokkering worden het e-mailadres en telefoonnummer in gehashte vorm op een interne blacklist geplaatst. Hetzelfde e-mailadres of telefoonnummer kan niet worden gebruikt om een nieuw account aan te maken. Neem contact op met privacy@vocito.ai als u denkt dat een blacklist-vermelding onjuist is.

10. Toepasselijk recht

Nederlands recht is van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter in Nederland. Indien u een consument in de EU bent, laat dit uw rechten onder dwingend consumentenrecht onverlet.

11. Wijzigingen

Wezenlijke wijzigingen worden minimaal 14 dagen van tevoren meegedeeld per e-mail of in-app. Voortgezet gebruik geldt als acceptatie.

Vocito AI bietet eine cloudbasierte KI-Sprachagenten-Plattform für automatische Anrufannahme, Transkription, Terminplanung und CRM-Integration. Vocito AI ist ein Technologieanbieter und erteilt keine Rechts- oder Telekommunikationsberatung.

• Rechtswidrige, täuschende oder beleidigende Anrufe
• Unaufgeforderte Werbeanrufe (Spam)
• Umgehung technischer Grenzen oder Sicherheitsmaßnahmen
• Reverse Engineering oder Dekompilierung der Plattform

5. Abonnement & Zahlung

• Gebühren werden im Voraus abgerechnet über Stripe
• 30-Tage-Geld-zurück-Garantie ab der ersten Zahlung
• Überschussminuten zum planmäßigen Überschusstarif
• Alle Preise in Euro, zzgl. MwSt.

6. Haftungsbeschränkung

• Keine Haftung für indirekte, zufällige oder Folgeschäden
• Gesamthaftung begrenzt auf die in den letzten 12 Monaten gezahlten Gebühren

7. Kündigung

Sie können jederzeit kündigen. Wir können Ihren Zugang bei Verstoß sofort sperren. Nach Kündigung werden Daten 30 Tage für den Export aufbewahrt.

8. Anwendbares Recht

Niederländisches Recht. Zuständiges Gericht in den Niederlanden. Für EU-Verbraucher gelten zwingende Verbraucherschutzgesetze des Wohnsitzlandes.

3. Responsabilité du client

4. Utilisation interdite

• Appels illégaux, trompeurs ou abusifs
• Appels commerciaux non sollicités (spam)
• Contournement des limites techniques ou des mesures de sécurité
• Rétro-ingénierie de la plateforme

5. Abonnement & paiement

• Facturation anticipée via Stripe
• Garantie de remboursement de 30 jours à compter du premier paiement
• Minutes excédentaires facturées au tarif du plan
• Tous les prix en euros, hors TVA le cas échéant

6. Limitation de responsabilité

• Aucune responsabilité pour les dommages indirects ou consécutifs
• Responsabilité totale limitée aux frais payés au cours des 12 derniers mois

7. Résiliation

Vous pouvez résilier à tout moment. Nous pouvons suspendre immédiatement en cas de violation. Après résiliation, les données sont conservées 30 jours pour l'export.

8. Droit applicable

Droit néerlandais. Juridiction : tribunaux des Pays-Bas. Pour les consommateurs européens, les droits impératifs du pays de résidence s'appliquent.
